Terms of Service

By accessing or using the Platform, creating an account, or clicking "I agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Platform on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Platform.

You must be at least 18 years of age to create an account and use the Platform.

Comercii is a managed website and business directory platform that enables business owners to establish and maintain a professional online presence without requiring technical or design expertise. The Platform includes, but is not limited to, the following features:

• Managed business websites and landing pages
• Business directory listings and discoverability tools
• Creator CRM tools for managing social media profiles, content pipelines, and audience analytics
• Social media management features including scheduling, performance tracking, and cross-platform analytics
• AI-powered content assistance for generating captions, posts, and marketing copy
• Integration with third-party platforms including TikTok, YouTube, Instagram, and Facebook via official OAuth-based APIs
• Analytics dashboards, reporting tools, and business intelligence features

We reserve the right to modify, expand, restrict, or discontinue any feature of the Platform at any time with reasonable notice.

To access the Platform, you must register for an account using a valid email address. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@comercii.com if you become aware of any unauthorised access to or use of your account.

You may not share your account credentials with any third party, create multiple accounts for the purpose of circumventing Platform restrictions, or use another user's account without their permission.

We reserve the right to disable any account at our sole discretion if we believe that account credentials have been compromised or if the account is being used in violation of these Terms.

The Platform offers optional integrations with third-party social media and video platforms, including TikTok, YouTube, Instagram, and Facebook. When you choose to connect any of these platforms, the following terms apply:

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit anyone else's use of the Platform. You must not:

• Use the Platform for any unlawful, harmful, fraudulent, or abusive purpose
• Attempt to scrape, harvest, or systematically collect data from the Platform without our express written permission
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Upload, transmit, or distribute malware, viruses, or any code designed to harm, disrupt, or gain unauthorised access to any system
• Attempt to probe, scan, or test the vulnerability of the Platform or circumvent any security or authentication measures
• Use the Platform to send unsolicited commercial communications (spam)
• Violate any applicable local, provincial, national, or international law or regulation
• Use the Platform to collect or store personal data about other users without their consent

Violation of these acceptable use requirements may result in immediate suspension or termination of your account.

Your content. You retain full ownership of all content you upload, create, or publish through the Platform ("User Content"), including business information, images, videos, and written copy. By submitting User Content to the Platform, you grant Comercii a non-exclusive, worldwide, royalty-free licence to host, store, display, and process that content solely for the purpose of providing and improving the Platform and its features.

Our platform. All software, code, design, trademarks, service marks, and other intellectual property embodied in or associated with the Platform are owned by or licensed to Comercii. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited licence necessary to use the Platform as described herein.

You may not reproduce, modify, distribute, or create derivative works of any part of the Platform without our prior written consent.

Your privacy matters to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in that policy.

You are responsible for ensuring that any personal data you upload or process through the Platform — including information about your customers or contacts — is handled in compliance with applicable privacy laws.

The Platform includes AI-powered features such as content generation, caption suggestions, and marketing copy assistance. These features are provided as a convenience tool to support your creative process. You acknowledge and agree that:

• AI-generated content is advisory in nature and does not constitute professional marketing, legal, medical, or financial advice
• AI outputs may be inaccurate, incomplete, or not suitable for your specific needs — always review before publishing
• You are solely responsible for any content you publish, regardless of whether it was generated with AI assistance
• We make no warranty or guarantee regarding the accuracy, quality, or fitness for purpose of AI-generated outputs

Inputs you provide to AI features may be used to improve the quality of the service, as further described in our Privacy Policy.

We strive to provide a reliable and high-quality Platform, but we do not guarantee uninterrupted or error-free service. The Platform is provided "as is" and "as available" without any warranty of uptime, continuous availability, or freedom from bugs or errors.

We may schedule maintenance windows, during which the Platform or certain features may be temporarily unavailable. Where practicable, we will provide advance notice of planned downtime.

Comercii shall not be liable for any loss or damage arising from temporary unavailability of the Platform, including due to maintenance, infrastructure failures, or events beyond our reasonable control.

To the maximum extent permitted by applicable law, Comercii and its directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Platform, even if Comercii has been advised of the possibility of such damages.

In no event shall Comercii's total cumulative liability to you for all claims arising out of or relating to these Terms or the Platform exceed the greater of (a) the total fees paid by you to Comercii in the twelve (12) months preceding the claim, or (b) CAD $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability; in such jurisdictions, the above limitations apply to the fullest extent permitted by law.

Termination by Comercii. We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if continued access poses a risk to the Platform or other users.

Termination by you. You may delete your account at any time through your account settings or by contacting us at hello@comercii.com.

Effect of termination. Upon termination of your account, your right to access the Platform ceases immediately. We will delete or anonymise your personal data in accordance with our Privacy Policy, subject to any legal obligations requiring us to retain certain records. User Content may be removed from the Platform within 30 days of account deletion.

Sections of these Terms that by their nature should survive termination — including intellectual property rights, limitation of liability, and governing law — shall survive termination.

These Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

You agree that any legal action or proceeding relating to these Terms or the Platform shall be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any jurisdiction where necessary to protect intellectual property rights or prevent irreparable harm.

We may update these Terms from time to time to reflect changes in our services, applicable law, or business practices. When we make material changes, we will notify you by email at the address associated with your account and by updating the "Last updated" date at the top of this page.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Platform and may delete your account.

We encourage you to review these Terms periodically to stay informed of any changes.
